Senior Technology Transfer/Strategic Agreements Manager

Position Overview:

PROGRAM DESCRIPTION

Contracts and Acquisitions (C&A) provides contractual and legal support in the execution of strategic agreements with third party organizations desiring to work with the Frederick National Laboratory for Cancer Research. Strategic agreements may include: materials transfer, cooperative research and development, technical services, collaboration agreement, beta testing and evaluation agreement, confidentiality agreement and other similar types of agreement. These agreements facilitate the technology transfer process by enabling FNLCR researchers to work with other extramural collaborators and members of the scientific engaged in the research and fight against cancer, AIDS, Ebola, Zika, etc.

KEY ROLES/RESPONSIBILITIES – Senior Technology Transfer/Strategic Agreements Manager

  • Draft, review, prepare and negotiate various types of strategic agreements, including but not limited to confidentiality agreements, research collaboration agreements, material transfer agreements, beta-testing and evaluation agreements
  • Working closely with internal research and scientific staff and Partnership Development Office, assist in determining the type of strategic agreement that may be utilized to facilitate the collaboration or third-party interaction
  • Assess the associated transaction risks and advise internal stakeholders accordingly
  • Develop, draft, revise, and update legal templates for various strategic agreements, as needed
  • Stay knowledgeable of, and communicate, legal and regulatory policies, procedures and changes that impact the FNLCR
  • Work with internal acquisition staff to resolve specific regulatory, legal and/or transactional issues and advises on additional terms and conditions necessary to comply with Federal Acquisition Regulations (FAR) and awarded Prime contract terms
  • Ensure that legal issues and recommendations are communicated on a timely basis to clients
  • Other related duties as assigned

BASIC QUALIFICATIONS

  • Possession of a Bachelor's Degree in a related discipline from an accredited institution.  Advanced education in additional discipline, preferably in science or business may also be considered. (Additional qualifying experience may be substituted for the required education). Foreign degrees must be evaluated for U.S. equivalency
  • In addition to the education requirements, a minimum of eight plus (8+) years of prior relevant experience in the preparation and negotiation of strategic agreements
  • Knowledge and senior level understanding of legal transactional agreements required for technology transfer including but not limited to material transfer agreements, confidentiality agreement, licenses and collaborative agreements
  • Knowledge of federal contracts and/or government contracting, with emphasis on intellectual property and data rights
  • Must be able to obtain and maintain a security clearance

PREFERRED QUALIFICATIONS

  • A law degree is highly desirable
  • Prior experience in a university, national laboratory or non-profit technology transfer office
